Position Description:
The Manager, SEC Compliance and Compensation position is responsible for assisting in the preparation of SEC reports including quarterly and annual reports, the proxy and other SEC forms as needed. This role will also support the increased development and documentation of the Company’s key processes for SOX 404 compliance as an emerging growth company. Finally, this role will be responsible for the general administration of the company’s stock option plans, including but not limited to transaction processing, 10b5-1 administration, management of transfer agent relationship and information flows and year-end reporting. Other aspects of compensation accounting will include preparing semi-monthly payroll, monthly sales compensation calculation and monthly bonus calculation. This position will be a key interface between sales, operations, and R&D and the finance team. In addition, this position will have frequent interaction with executive management and the Board. Long term roles and responsibilities will be dependent on the successful candidate’s skill set and career goals.
Essential Duties and Responsibilities:
SEC/404/SOX Compliance
Assist with preparation of quarterly, annual and other required SEC reports
Develop documentation on key processes around 404/SOX compliance
Liaison with third party on controls testing
Assist and participate in audit processes to ensure 404/SOX compliance
Update and provide communication materials to board and senior management on proxy items
Stock Administration
Day-to-day administration of all aspects of the company’s stock options compensation plan, ensuring all forms of compensation are administered in accordance with the terms and conditions of the plans from which they are granted
Maintaining database integrity and ensuring accuracy of employee data contained in Invuity’s stock system of record (Equity Edge)
Provide excellent customer service in responding to employee inquiries regarding account information/navigation, stock option exercises, restricted stock vesting, and other frequently asked questions
Adhere to internal processes and procedures, and compliant with international & US tax withholding/reporting requirements
Develop materials and communications to assist with employee education
Perform reconciliation and provide reporting for key SOX controls
Payroll
Perform all activities necessary to process semi-monthly payroll for over 180 employees, including maintaining related records, filing tax reports and voluntary deduction reports, processing involuntary deductions such as levies and garnishments, preparing accounting transactions and documents, documenting and updating procedures and preparing special reports for management
Responsible for the coordination efforts between payroll, human resources, ADP and other departments to ensure proper flow and maintenance of employee data
Coordinate with HR and 401(k) Administrator/Record-keeper to ensure employee 401(k) payroll contributions are accurate and timely
Assist in collection and preparation of audit schedules and PBC requests
Miscellaneous:
Maintenance of contracts database with legal
Assist Finance team with month-end close
Technical accounting projects as needed
Various other projects as needed

Qualifications/Requirements:
4-5 years of Big Four experience
Active CPA/candidate
Bachelor’s degree in finance or accounting strongly preferred
Life science/medical device industry experience a plus.
